1. GENERAL PROVISIONS
1.1 Taxiano operates a ride-booking platform enabling users to book transportation services in advance through its website or mobile versions (the “Taxiano Tools”).
1.2 Transport is provided by either Taxiano’s employed drivers or contracted independent fleet partners (“Fleet Partners”) in compliance with German law.
1.3 These Terms & Conditions (“T&Cs”) govern all contracts and interactions with users.
1.4 User terms conflicting with these T&Cs are invalid unless expressly accepted in writing.
2. CONTRACT FORMATION
2.1 Booking Process & Offer:
– Completing a booking form constitutes a binding offer (§§ 145 ff. BGB).
– A contract is concluded upon receipt of booking confirmation (§ 151 BGB).
2.2 User Registration:
– Accurate name, contact details, and trip data are required.
– Automated/fraudulent registrations are not permitted.
2.3 Service Provider Structure:
– Services may be rendered by either employees or Fleet Partners.
– The user’s contract is always with Taxiano.
2.4 Third-Party Beneficiaries:
– Fleet Partners may benefit from the contract under § 328 BGB.
3. TYPES OF TRANSPORT SERVICES
3.1 Taxiano offers:
– Airport transfers
– Hourly bookings
– Intercity/international trips
– Long-distance travel (200+ km)
3.2 All bookings must be made in advance. On-demand service is not available.
3.3 Vehicle images are illustrative; final vehicle will match class and function.
3.4 The Passenger Transport Act (PBefG) and StVO apply to all rides.
4. USER RIGHTS AND OBLIGATIONS
4.1 Users must follow local laws and driver instructions. Misconduct may lead to service refusal.
4.2 Child seats must be requested at booking per § 21 StVO. Transport may be refused without compliance.
4.3 Pets/bulky luggage must be declared. Undeclared items may be refused.
4.4 Drivers may cancel rides due to misconduct or non-compliance with legal obligations.
5. PRICING, PAYMENT & MODIFICATIONS
5.1 Prices depend on distance (per km) or hourly rates. VAT is included.
5.2 Accepted payments: cash, cards, PayPal, Stripe, Apple Pay, etc. Consent is needed to save payment data (GDPR Art. 6(1)(a)).
5.3 No-shows after 15 minutes incur full charges.
5.4 Cancellations:
– Free: up to 2 hours before
– Within 2 hours: 50% refund
5.5 Rebooking is possible, subject to availability and may affect pricing.
5.6 Vouchers/Promotions:
– Not redeemable for cash
– Non-combinable unless stated
– May expire or be one-time use
6. LIABILITY AND INSURANCE
6.1 Taxiano is liable only for intent/gross negligence or breach of key obligations. Not liable for forgotten items, accidents not directly caused, or force majeure delays.
6.2 Fleet Partners must maintain valid insurance and are responsible for their operations.
6.3 No right of withdrawal per § 312g Abs. 2 Nr. 9 BGB.
7. DATA PROTECTION & PRIVACY
7.1 Taxiano complies with GDPR (EU 2016/679).
7.2 Personal data is processed only:
– As needed for contracts (Art. 6(1)(b))
– With consent (Art. 6(1)(a))
Users may request access, correction, deletion, or withdraw consent.
7.3 Data is shared with drivers, processors, or authorities as needed.
7.4 Data is protected and deleted when no longer necessary.

8. PLATFORM USE & INTELLECTUAL PROPERTY
8.1 Users may use the platform solely to book/manage rides.
8.2 Misuse, reproduction, or external use of Taxiano’s content or system is prohibited under UrhG (German copyright law).
9. CHANGES TO SERVICES & TERMS
9.1 Taxiano may adjust its services/features or update these T&Cs.
9.2 Users will be notified. Continued use implies agreement unless users object in a timely manner.
10. DISPUTE RESOLUTION & GOVERNING LAW
10.1 First contact Taxiano support for dispute resolution.
10.2 Taxiano may participate in EU ODR but is not obligated.
10.3 All legal matters are governed by German law. Jurisdiction: Offenbach (if applicable).
11. SEVERABILITY CLAUSE
If any clause is invalid, the rest remains in effect. An alternative legal/economic clause shall replace the invalid one.

Terms & Conditions for Drivers & Fleet Partners

1. Introduction and Scope
1.1 These Terms and Conditions (“Agreement”) govern the relationship between Taxiano (“we,” “us,” or “our”) and all individuals and entities (“you,” “Driver,” “Fleet Partner”) who provide transportation services using the Taxiano platform via our website (“Taxiano Platform”).
1.2 This Agreement applies to:
- Drivers directly employed by Taxiano;
- Independent drivers affiliated with third-party Fleet Partners who are contracted with Taxiano;
- Fleet Partners that operate and manage a network of drivers under contract with Taxiano.
1.3 This Agreement is governed by the laws of the Federal Republic of Germany, including but not limited to the Bürgerliches Gesetzbuch (BGB – German Civil Code), and is subject to the exclusive jurisdiction of the courts of Offenbach am Main.
2. Definitions
- Driver: A natural person providing transportation services either as a Taxiano employee or under a Fleet Partner.
- Fleet Partner: A third-party transportation service provider legally contracted with Taxiano.
- Transportation Services: All transport services provided to customers via the Taxiano Platform.
- Taxiano Platform: The web-based interface used by Drivers and Fleet Partners for booking, payments, and compliance.
- Fare: Total fee charged to passengers for completed services.
- Commission: Variable fee charged by Taxiano to Drivers or Fleet Partners.
- User ID: Unique identifier issued by Taxiano for dashboard access.
3. Onboarding and Registration
- 3.1 Drivers and Fleet Partners must complete registration on the Taxiano website, including required documents as per German law.
- 3.2 A User ID is issued upon successful onboarding. Users must protect their login credentials.
- 3.3 Fleet Partners may register multiple Drivers; each must be verified.
- 3.4 Only registered Drivers or those employed by a Fleet Partner may operate on the platform.
4. Legal Relationship and Status
- 4.1 Unless explicitly employed by Taxiano, Drivers and Fleet Partners act as independent contractors under German commercial law (HGB).
- 4.2 No employment relationship is implied unless in writing.
- 4.3 Fleet Partners are responsible for their Drivers’ compliance with labor and tax regulations.
- 4.4 Fleet Partners and Drivers are jointly liable for any legal violations.
5. Use of the Taxiano Platform
- 5.1 Only pre-approved users may access the platform via the official website.
- 5.2 You must:
- Keep details accurate and current;
- Use the Platform for pre-booked transportation only;
- Refrain from tampering or unauthorized data access.
- 5.3 Access may be revoked upon violation.
6. Transportation Services
- 6.1 Only pre-booked rides are allowed; no on-demand hailing.
- 6.2 Drivers may accept or decline rides at will.
- 6.3 Cancellations allowed for legal or safety reasons.
- 6.4 Drivers must:
- Comply with traffic laws (StVO);
- Drive responsibly;
- Keep vehicles clean and operational.
- 6.5 No unauthorized passengers permitted during active rides.
7. Payments and Commission
- 7.1 Fare is dynamically calculated based on multiple factors.
- 7.2 Payouts are made minus Taxiano’s Commission.
- 7.3 Tips are allowed and 100% belong to the Driver.
- 7.4 Fleet Partners must pay their Drivers directly.
- 7.5 Supported payment methods include card, PayPal, Stripe, Apple Pay, and cash.
8. Ratings and Feedback
- 8.1 Passengers may rate rides from 1 to 5 stars.
- 8.2 A minimum rating of 4.0 is required.
- 8.3 Two verified complaints may result in suspension.
9. Vehicle and Maintenance Requirements
- 9.1 Vehicles must:
- Be registered and insured;
- Be under five years old;
- Match the vehicle category for bookings.
- 9.2 Fleet Partners are responsible for vehicle condition and insurance.
10. Branding and Intellectual Property
- 10.1 Use of Taxiano branding requires written permission.
- 10.2 Any issued materials must be returned upon termination.
- 10.3 Dashboard access is non-transferable and for licensed use only.
11. Termination and Suspension
- 11.1 Immediate suspension or termination may occur if:
- German laws are violated;
- Rating remains under 4.0 after warning;
- Repeated breaches occur.
- 11.2 Users may cancel with 7 days’ notice.
- 11.3 Access and branding rights end upon termination.
12. Data Protection
- 12.1 Data is processed under GDPR and BDSG.
- 12.2 Confidentiality of dashboard-accessed data is mandatory.
- 12.3 Refer to the Privacy Policy for more details.
13. Final Provisions
- 13.1 Invalid clauses do not affect the rest of the Agreement (BGB §139).
- 13.2 Terms may be modified with 15 days’ notice.
- 13.3 Communication must be in writing via email, post, or official contact forms.
- 13.4 Continued use of the platform implies acceptance of updated Terms.
